Terms of Service

KohiCorp provides API monitoring, error tracking, and AI-assisted analysis tools for teams of all sizes. These Terms explain your rights, responsibilities, and the rules for using the Services.

1. Agreement to Terms

These Terms govern your use of the websites, SDKs, APIs, dashboards, error tracking, and AI-powered monitoring features (the "Services") operated by KohiCorp ("we", "us", "our"), registered in the Netherlands (KVK: 42006840). By using the Services you agree to these Terms. If you act on behalf of an organization, you represent authority to bind it.

2. Service Description

KohiCorp provides API monitoring, error tracking, and analysis tools, including telemetry ingestion, error capture, dashboarding, alerting, and AI-assisted investigation. Features may be updated over time.

3. Accounts and Security

You are responsible for maintaining account confidentiality and for all activity under your account. Notify us promptly of unauthorized access.

4. Customer Data and Processing

You retain ownership of Customer Data. You grant KohiCorp a limited license to host, process, and analyze it solely to operate the Services. You are responsible for having the legal basis to submit data.

Where GDPR applies, KohiCorp acts as data processor and you as data controller. The following data processing terms apply and constitute the Data Processing Agreement between the parties:

  • KohiCorp processes Customer Data only on your documented instructions and solely to provide the Services.
  • All personnel with access to Customer Data are bound by confidentiality obligations.
  • KohiCorp implements appropriate technical and organizational security measures, including encryption in transit, access controls, and monitoring.
  • KohiCorp engages sub-processors listed in our Privacy Policy. The same data protection obligations flow down to each sub-processor.
  • KohiCorp assists you with data subject rights requests (access, rectification, erasure, portability) within reasonable timeframes.
  • KohiCorp notifies you of any confirmed personal data breach within 72 hours of becoming aware.
  • Upon termination, Customer Data is available for export for 30 days. After that period, all Customer Data is deleted in accordance with our retention policy.
  • KohiCorp makes available information reasonably necessary to demonstrate compliance with these processing obligations.

5. AI Features

AI outputs are generated automatically and may be inaccurate. You are responsible for reviewing them before use in production. AI output is not a substitute for professional advice.

6. Acceptable Use

You may not use the Services to violate law, infringe rights, or interfere with system integrity. No abusive traffic, credential theft, unauthorized scanning, reverse engineering, or bypassing usage limits or billing controls.

7. Fees and Billing

Paid plans are billed on a recurring basis. You authorize KohiCorp and its payment processors to charge applicable fees and taxes. Payments are non-refundable unless required by law. Cancellation takes effect at the end of the billing period.

8. Intellectual Property

KohiCorp retains all rights in the Services, software, models, and documentation. No rights are transferred except those expressly granted. Free trials and beta features may be modified or discontinued at any time.

9. Suspension and Termination

We may suspend or terminate access for material breach, security risk, or unlawful use. You may stop using the Services at any time.

After termination you may request export of your Customer Data for up to 30 days. After that period, remaining data may be deleted per our retention policies. Payment obligations, IP rights, liability limits, and confidentiality survive termination.

10. Disclaimer and Limitation of Liability

The Services are provided as-is without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement.

KohiCorp is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data. Our aggregate liability will not exceed fees paid by you in the 12 months before the claim.

Nothing in these Terms limits liability for fraud, intentional misconduct, gross negligence, or obligations under applicable data protection law including the GDPR. Claims must be brought within 12 months of the event.

11. Indemnification

You indemnify KohiCorp from claims arising from your misuse of the Services, breach of these Terms, or infringement of third-party rights through data you submit. KohiCorp indemnifies you from claims that the Services infringe a third party's intellectual property rights.

12. Governing Law

These Terms are governed by Dutch law, excluding conflict-of-law rules. Disputes will be resolved in the competent courts of the Netherlands.

13. General

Neither party is liable for delays caused by events beyond reasonable control (force majeure). If any provision is found unenforceable, the remaining provisions remain in effect. These Terms, our Privacy Policy, and any applicable DPA constitute the entire agreement.
